1. Introduction
These Terms and Conditions ("Terms") govern your access to and use of the website located at protechly.com (the "Website") and any related products, services, content, and materials provided by Protechly ("Protechly", "we", "us", or "our").
By accessing or using the Website, or by engaging our products or services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Website or our services.
2. Definitions
In these Terms, unless the context requires otherwise: "Content" means all text, graphics, images, software, code, designs, and other material made available on or through the Website; "Services" means the information technology, cybersecurity, cloud, and related products and services we provide; and "you" or "your" means the person or entity accessing the Website or using the Services.
3. Eligibility and Acceptance
You represent that you are at least 18 years of age, or that you are accessing the Website with the consent of a parent or legal guardian, and that you have the legal capacity to enter into these Terms. If you are using the Website or Services on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
4. Use of the Website and Services
You agree to use the Website and Services only for lawful purposes and in a manner that does not infringe the rights of, or restrict or inhibit the use and enjoyment of, the Website by any other party.
You must not:
- use the Website or Services in any way that breaches any applicable law or regulation;
- attempt to gain unauthorised access to the Website, our servers, systems, or networks, or to any data not intended for you;
- introduce or attempt to introduce any malicious code, virus, or other harmful material;
- probe, scan, or test the vulnerability of any system or network without our express written authorisation;
- interfere with, disrupt, or place an unreasonable load on the Website or its infrastructure;
- reproduce, duplicate, copy, resell, or exploit any part of the Website or Services without our express permission; or
- use the Website or Services to transmit unsolicited communications, or to collect information about others without their consent.
Given the nature of our business, any security testing, penetration testing, or vulnerability assessment of our systems is strictly prohibited unless it is expressly authorised by us in writing under a separate agreement.
5. Intellectual Property
Unless otherwise stated, all Content on the Website and all intellectual property rights in the Website and Services are owned by or licensed to Protechly. This includes, without limitation, the design, layout, look, appearance, graphics, text, and code.
You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Website for your own personal or internal business purposes. You must not otherwise copy, modify, distribute, publish, or create derivative works from any Content without our prior written consent. The Protechly name, logo, and branding must not be used without our written permission.
6. Products and Services
We provide information technology, cybersecurity, cloud, and related products and services. The specific scope, deliverables, fees, and terms applicable to any engagement will be set out in a separate agreement, statement of work, proposal, or order accepted between you and us. In the event of any inconsistency between these Terms and such a separate agreement, the separate agreement will prevail to the extent of the inconsistency in relation to that engagement.
Information provided on the Website about our products and services is for general informational purposes only, does not constitute an offer, and may be changed or withdrawn at any time without notice.
7. Third-Party Links and Content
The Website may contain links to third-party websites, resources, or services that are not owned or controlled by us. We provide these links for convenience only and do not endorse and are not responsible for the content, products, services, or practices of any third party. Your use of any third-party website or service is at your own risk and subject to that third party's own terms and policies.
8. Disclaimers
The Website and its Content are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we make no representations or warranties of any kind, express or implied, as to the operation, availability, accuracy, completeness, reliability, or fitness for a particular purpose of the Website, its Content, or the Services.
While we take reasonable steps to protect our Website and systems, we do not warrant that the Website will be uninterrupted, timely, secure, or error-free, or that it will be free of viruses or other harmful components.
Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred by the Australian Consumer Law or any other applicable law that cannot lawfully be excluded or limited.
9. Limitation of Liability
To the maximum extent permitted by law, Protechly will not be liable for any indirect, incidental, special, consequential, or punitive loss or damage, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or in connection with your use of, or inability to use, the Website or Services, whether based in contract, tort (including negligence), statute, or otherwise.
Where our liability cannot be excluded but can be limited, our liability is limited, at our option, to the resupply of the relevant services or the payment of the cost of having the relevant services resupplied.
10. Indemnity
You agree to indemnify and hold harmless Protechly and its officers, employees, and contractors from and against any claims, liabilities, losses, damages, costs, and expenses (including reasonable legal fees) arising out of or in connection with your breach of these Terms, your misuse of the Website or Services, or your violation of any law or the rights of any third party.
11. Privacy
Your use of the Website and Services is also governed by our Privacy Policy and Cookie Policy, which are incorporated into these Terms by reference. By using the Website, you consent to the collection, use, and disclosure of your personal information as described in our Privacy Policy.
12. Confidentiality
Where, in the course of an engagement, either party discloses confidential information to the other, the receiving party agrees to keep that information confidential, to use it only for the purposes of the engagement, and to protect it using at least a reasonable standard of care. This clause does not apply to information that is or becomes public through no fault of the receiving party, or that is required to be disclosed by law.
13. Suspension and Termination
We may suspend, restrict, or terminate your access to the Website or Services at any time, without notice, if we reasonably believe you have breached these Terms, or where necessary to protect the security or integrity of our Website, systems, or other users. Provisions that by their nature should survive termination — including those relating to intellectual property, disclaimers, limitation of liability, indemnity, and confidentiality — will survive.
14. Changes to These Terms
We may update these Terms from time to time to reflect changes in our practices, our Services, or applicable law. The current version will always be available on the Website, and the "Last updated" date will indicate when the most recent changes took effect. Your continued use of the Website after any changes constitutes acceptance of the updated Terms.
15. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of Australia. You agree to submit to the non-exclusive jurisdiction of the courts of Australia in respect of any dispute arising out of or in connection with these Terms, the Website, or the Services.
16. General
If any provision of these Terms is found to be invalid or unenforceable, that provision will be severed and the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision. These Terms, together with our Privacy Policy, Cookie Policy, and any separate agreement governing a specific engagement, constitute the entire agreement between you and us in relation to your use of the Website.
